1. Pricing

Prices are quoted in Euros, net of taxes. Prices may be revised without prior notice on our part.

2. Order

Any order for equipment or recording services must be accompanied by a signed and stamped purchase order or quote, which implies full and unconditional acceptance of our general terms and conditions of sale. Any modification of these general terms and conditions must be explicitly mentioned on the invoice, the accepted quote, or through the formalization of Special Sales Conditions.

3. Invoicing

Invoices are always issued at the prices and conditions in force at the time of the order. The minimum invoiced amount is €30 excluding taxes.

4. Delivery

VOXELIS reserves the right to proceed with full or partial delivery of your orders. The shipping time for equipment is 48 working hours upon receipt of the order, subject to availability of items in stock. In the case of specific equipment preparation services (pre-loading of music, memory expansion, etc.), this lead time is extended to 72 hours. 5. Transport

Shipping costs are the responsibility of the client. FREE DELIVERY for any recording service or equipment order with a minimum value of £300 excluding taxes for mainland UK. In the event of missing or damaged goods, written and precise reservations on the delivery note must be confirmed within 3 working days by recorded delivery letter. Failure to comply with these conditions will engage the client's liability and no refund can be considered. The client must inspect the goods upon receipt and check quantities, condition, references and conformity with the order. After 3 days from the date of receipt of goods, no claim will be possible.

6. Warranty

Equipment

VOXELIS provides a one-year standard exchange warranty on all invoiced products. Excluded from this warranty are failures resulting from abnormal use,
electrical surges, breakage, fire, water damage, or installation not entrusted to a telecommunications professional. Standard exchange is subject to equipment availability. In the case of an advance, defective equipment must be returned within fifteen days. After 15 days, unreturned equipment will be invoiced at the current new price.

Recording Services

VOXELIS provides a warranty on all invoiced voice messages. The claim period is limited to 10 working days from the delivery date of the messages. This warranty applies in the event of non-conformity of the delivery with the client's instructions (errors in texts, music, file formats and durations, recording media) and inadequate sound levels for the broadcast equipment specified by the client. In the case of subjective appreciation criteria regarding the client's explicit instructions (tone, rhythm, accent, etc.), the warranty applies provided that the client accepts a reflection and testing period of 20 working days to confirm their claim. The client undertakes to provide all artistic and technical information necessary for the proper creation of a voice message: phonetics, typed text, foreign language translation, background music, message duration, message delivery format, delivery media. The information attached to the purchase order is considered as a "Recording Approval". This information is essential for the application of the warranty clause.

7. Subscription Contracts, Message Credits

Recurring recording services, subscription packages and message credits sold by VOXELIS are subject to special sales conditions, stipulated in the sales documents for these services and accepted by the client at the time of ordering or upon payment of the first invoice.

8. Payment Terms

Payment Method

Payment for the first order is made immediately by cheque or bank transfer. Payment terms for subsequent orders are upon receipt of invoice by bank transfer, cheque or accepted bill of exchange at 30 days end of month. Invoice disputes must reach us no later than eight days after receipt of the statement.

Late Payment Penalties

For invoices unpaid by the due date, all litigation and procedural costs shall be borne entirely by the debtor. Any delay in payment
automatically entails, at the client's expense, a flat-rate penalty of 15% of the total amount of the unpaid invoice.

Retention of Title

VOXELIS retains ownership of the goods sold until full payment for the supplied equipment has been received (Law No. 80-335 of 12 March 1980).

9. Intellectual and Artistic Property

Any total or partial reproduction or distribution of our recordings carried out without authorisation is unlawful and exposes the offender to legal proceedings.

10. Limitation of Liability

VOXELIS's service is limited to the supply and delivery of equipment and sound recordings, the use, maintenance and coordination of which remain under the client's responsibility. VOXELIS accepts no liability for the indirect consequences of equipment, logistical or scheduling failures relating to these
services.

11. Taxes, Duties and PRS/PPL Royalties

All taxes, duties and royalties of the PRS for Music or PPL type (present or future) are the responsibility of the client and paid by them. Music described as "royalty-free" is guaranteed by VOXELIS to be free of rights at the time of the order, and for a maximum period of 12 months. During this period, should the said music become a protected work and therefore subject to royalties with these organisations, VOXELIS undertakes to re-mix your recording free of charge with another music of your choice.

12. Jurisdiction and Competence

For any dispute between VOXELIS and one of its clients, the competent jurisdiction shall be the Commercial Court of Bordeaux (France).
